Terms of Service

Please read these terms carefully before using our services

This Terms of Service Agreement ("Agreement") is concluded between you ("You" or "User") and Cointivo, including its subsidiaries and affiliated entities ("we", "us", "our", "Cointivo", or the "Platform"). By using, accessing, or attempting to use or access the Cointivo website at https://cointivo.com, mobile applications, APIs, and any other services provided by Cointivo or affiliated companies thereof (the "Services"), it will be deemed that you have read and agreed to all the terms and conditions specified in this Agreement and Privacy Policy, as well as the amendments and updates which we may make thereto, and any other agreements, terms, conditions, guidelines, rules, or written instructions as published by Cointivo on its website, apps, or other Services from time to time (altogether as the "Legal Documents"), which are incorporated herein by reference. If you do not agree or otherwise understand the nature of this Agreement and the Legal Documents, do not access Cointivo or use the corresponding Cointivo Services.

BY MAKING USE OF COINTIVO SERVICES, YOU ACKNOWLEDGE AND AGREE THAT: (1) YOU ARE AWARE OF THE RISKS ASSOCIATED WITH TRANSACTIONS OF DIGITAL ASSETS AND THEIR DERIVATIVES; (2) YOU SHALL ASSUME ALL RISKS RELATED TO THE USE OF COINTIVO SERVICES AND TRANSACTIONS OF DIGITAL ASSETS AND THEIR DERIVATIVES; AND (3) COINTIVO SHALL NOT BE LIABLE FOR ANY SUCH RISKS OR ADVERSE OUTCOMES.

IMPORTANT

It is your sole responsibility to ensure that all devices and systems used to access the Platform and trade Digital Assets are secure. It is strongly recommended that Users utilise the latest version of a modern browser to log in to Cointivo. Users shall bear sole responsibility for any losses or damages suffered as a result of inadequate device or network security.

PROHIBITED JURISDICTIONS

1)

You must ensure that you are not a located, incorporated, otherwise established in, resident of, a citizen of, or operating in of any Prohibited Jurisdiction. Currently, Cointivo does not provide Services, nor do we accept registration of Users or trade applications, from the following countries or regions: the United States of America (and all its territories and possessions), The Netherlands, Canada, Singapore, The United Arab Emirates, North Korea (DPRK), Cuba, Iran, Sudan, Syria, Mainland China, the Russian-controlled regions of Ukraine (currently including Crimea, Donetsk, Luhansk, and Zaporizhzhia), and any other jurisdiction subject to comprehensive sanctions imposed by OFAC, the UN Security Council, the European Union, or other applicable governmental authority (altogether referred to as "Prohibited Jurisdictions").

For the sake of clarification, the Prohibited Jurisdictions list is non-exhaustive and is subject to change at any time and from time to time by Cointivo in its absolute sole discretion, taking into account legal and compliance considerations. You understand and acknowledge that if it is determined that you have given false representations of your location or place of residence, we reserve the right to take any appropriate actions in compliance with applicable laws and regulations, including termination of any Account immediately and liquidating any open positions. You undertake to inform Cointivo at the earliest possible opportunity if you have become a resident of any of the foregoing Prohibited Jurisdictions.

The use of virtual private networks (VPNs), proxy servers, Tor, or any other technical means to circumvent geographic access restrictions is strictly prohibited and constitutes a material breach of this Agreement. Cointivo employs geolocation, IP analysis, and related detection tools to identify such circumvention and reserves all rights to act accordingly, including immediate account termination and asset freezing.

RISK DISCLOSURE

Notwithstanding our Risk Disclosure Statement available at https://cointivo.com/risk, to further your understanding of the risks associated with trading in Digital Assets, Cointivo hereby reminds you of the following:

YOU MUST FULLY UNDERSTAND AND ASSESS THE RISKS IN DIGITAL ASSETS TRADING BEFORE CONDUCTING ANY TRADING ACTIVITIES OR USING OUR SERVICES. YOU MUST ASSESS YOUR RISK TOLERANCE CAREFULLY BEFORE ENGAGING IN DIGITAL ASSETS TRADING. DIGITAL ASSETS ARE HIGHLY VOLATILE AND SPECULATIVE. YOU SHOULD NEVER INVEST FUNDS YOU CANNOT AFFORD TO LOSE ENTIRELY.

Notwithstanding the foregoing, when using our Services, you may face risks regarding policy, regulatory compliance, investment yield, trading, and force majeure, among others, the non-exhaustive details of which are as follows:

  • (a)POLICY RISK: Users of Cointivo may encounter losses due to the amendment of national laws, regulations, or macro-policies which may influence the normal trade of Digital Assets.
  • (b)COMPLIANCE RISK: Users of Cointivo may encounter losses if the User's Digital Assets trade violates national laws or regulations applicable to the User.
  • (c)MARKET VOLATILITY RISK: The Digital Asset market never closes, with Digital Asset prices fluctuating in a very wide range. Users may encounter substantial or total losses in the market.
  • (d)TRADING RISK: A successful transfer is dependent on the mutual assent of the parties to the transfer. Cointivo does not commit to or guarantee any successful transfer or order execution.
  • (e)LIQUIDITY RISK: Certain Digital Assets may have limited market depth. You may be unable to sell or exit a position at a desired price or within a desired timeframe.
  • (f)FORCE MAJEURE RISK: When natural disasters, war, strikes, pandemics, cyberattacks, and other unpredictable, unavoidable, or unforeseeable situations occur, Cointivo may not be able to operate normally, which may result in Users' losses. Cointivo will not assume any civil liability for losses caused by force majeure.
  • (g)RISK OF DELISTING: When a Digital Asset project party faces bankruptcy, liquidation, dissolution, or violates national laws and regulations, or under the request of the project party, Cointivo may delist such Digital Asset, which may cause losses for Users.
  • (h)TECHNICAL RISK: Although the chance of technical fault is low during Digital Asset trading, we cannot exclude such possibility. If such an event occurs, Users' interests may be affected.
  • (i)OPERATIONS RISK: Users may face risks due to operational error, such as transfers to wrong addresses, incorrect order configuration, or violations of operational regulations.
  • (j)LEVERAGED PRODUCT RISK: Futures, margin, and other leveraged products available on the Platform carry significantly higher risk than spot trading. Losses can exceed your initial deposit. Only engage in leveraged trading if you fully understand the mechanics and risks involved.

Nothing on the Platform constitutes financial, investment, tax, accounting, or legal advice. Cointivo strongly recommends you seek independent professional advice before making any trading or investment decision.

ELIGIBILITY AND REGISTRATION

By registering for a Cointivo Account or using or otherwise accessing Cointivo Services, you represent and warrant that: (i) as an individual, you are at least 18 years of age or the age of legal majority in your jurisdiction, whichever is greater, and have full legal capacity to form a binding contract under applicable laws; (ii) as a legal person or other organisation, you have full legal capacity and sufficient authorisations to enter into this Agreement; (iii) you have not been previously suspended or removed from using the Cointivo Platform or related Services; (iv) you do not currently maintain an unauthorised duplicate Cointivo Account; (v) you are not a resident of, located in, or otherwise attempting to access the Cointivo Platform from a Prohibited Jurisdiction; (vi) if you act as an employee or agent of a legal entity and enter into this Agreement on their behalf, you have all the necessary rights and authorisations to bind such legal entity; and (vii) your use of Cointivo Platform and Cointivo Services will not violate any laws and regulations applicable to you, including but not limited to regulations on anti-money laundering, anti-corruption, and counter-terrorist financing.

All Users must apply for a Cointivo Account before using Cointivo Services. Each User (including natural person, business, or legal entity) may maintain only one Account at any time unless explicitly approved in writing by Cointivo:

  • (a)When you register a Cointivo Account, you must provide the information identified in this Agreement or otherwise requested by Cointivo, and accept this Agreement, the Privacy Policy, and other Cointivo Legal Documents. Cointivo may refuse, in its absolute sole discretion, to open a Cointivo Account for you. You agree to provide complete and accurate information when opening a Cointivo Account and to timely update any information you provide to maintain its integrity and accuracy.
  • (b)You are solely responsible for all activities that occur under your account, whether authorised by you or not. All instructions submitted through your account are deemed to have been submitted by you and are legally binding upon you.
  • (c)Cointivo may, at any time and without prior notice, place restrictions on any account pending investigation or compliance review.

Please note that there are legal requirements in various countries which may restrict the products and services that Cointivo can lawfully provide. Accordingly, some products, services, and certain functionality within the Cointivo Platform may not be available or may be restricted in certain jurisdictions or regions or to certain Users. You shall be responsible for informing yourself about and observing any restrictions and requirements imposed with respect to access to and use of the Cointivo Platform and Services in each country from which you access them. Cointivo reserves the right to change, modify, or impose additional restrictions at any time without prior notification.

IDENTITY INFORMATION

In order to access certain features of the Platform, including trading, deposits, withdrawals, and fiat-related services, Users may be required to provide identity information and complete identity verification procedures. Cointivo may verify user identity at any time in accordance with applicable regulatory requirements, internal compliance policies, and risk management procedures.

You agree to provide accurate, complete, and current identity information as requested by Cointivo during account registration or at any time thereafter. Requested information may include, but is not limited to: full legal name; date of birth; nationality and country of residence; government-issued identification documents; facial verification or biometric information; proof of address documentation; and corporate documentation for legal entity accounts.

Cointivo may conduct identity verification through automated systems, manual review procedures, and approved third-party verification providers. By using the Platform, you consent to the collection, processing, and verification of your identity information for compliance, fraud prevention, and security purposes. Cointivo reserves the right to request additional identity documentation or information at any time where required by applicable laws, regulatory obligations, internal compliance policies, or unusual account activity.

If you fail to provide requested identity information within a reasonable period of time, Cointivo may restrict account functionality, suspend trading activity, disable withdrawals, or terminate your account without prior notice.
11)
You represent and warrant that all identity information provided to Cointivo is accurate and belongs to you or the entity you represent. Submitting false, altered, forged, or misleading documentation constitutes a material breach of this Agreement and a criminal offence under applicable law. Cointivo will report such conduct to applicable authorities, permanently ban the offending user, and may confiscate or freeze associated assets pending investigation.

ACCOUNT SECURITY MANAGEMENT AND USER INFORMATION

12)

Users understand and agree that it is the sole responsibility of Users to maintain the confidentiality of their Cointivo account credentials and are responsible for all activities conducted under their Cointivo account. You assume full responsibility for all actions and statements made using your account and agree to the following:

  • (a)You must create a strong, unique password combining uppercase and lowercase letters, numbers, and special characters. You must not reuse your Cointivo password across other services or applications.
  • (b)You shall not disclose your account credentials to any other person, nor shall you use the account credentials of any other person. If your account is illegally used by any other person due to factors not attributable to Cointivo, such as hacking, virus, or negligence on the part of the User, Cointivo will not assume any responsibility whatsoever.
  • (c)Users are prohibited from giving, lending, renting out, transferring, or otherwise disposing of their Cointivo account to any third party without the express written consent of Cointivo.
  • (d)Cointivo recognises Users' instructions through Users' account credentials. All conduct on Cointivo after you log in using your account credentials shall represent you personally. Electronic information records generated by the operation of your account are valid evidence of your conduct, and you shall bear all responsibilities arising therefrom.
  • (e)Cointivo strongly recommends and, for high-risk actions including withdrawals, API key creation, and password changes, mandates the use of two-factor authentication (2FA). You acknowledge that failure to enable 2FA may limit Cointivo's ability to assist you in the event of unauthorised access.
  • (f)Cointivo will NEVER ask you for your password, two-factor authentication codes, seed phrases, or private keys via email, live chat, social media, or phone. All Cointivo employees are explicitly prohibited from requesting such credentials.
  • (g)You are responsible for securing all devices and networks used to access the Platform. You should avoid accessing your account via shared, public, or unsecured Wi-Fi networks.
  • (h)Cointivo offers a personalised anti-phishing code included in all official Cointivo emails. Users are strongly encouraged to enable this feature. Cointivo also offers a withdrawal address whitelisting feature that restricts withdrawals to pre-approved addresses only.

If a User discovers that a third person fraudulently uses or embezzles the User's account and credentials, the User shall promptly notify Cointivo at [email protected] and request Cointivo to suspend relevant services; otherwise all responsibilities arising from such use shall be borne solely by the User. The User understands that Cointivo needs a reasonable period of time to take action; Cointivo shall not be held liable for any loss that may arise in connection with such third person's use of the services before Cointivo takes action.

Where Cointivo deems on its unilateral and independent judgement that any event which undermines the security of trading has or may arise, Cointivo shall have the right to suspend, interrupt or terminate all or part of the Services provided to a User under this Agreement, remove or delete registration information, and seize illicit profits that the User may have gained, without notifying such User and without assuming any responsibility to such User or any third party. The aforementioned events include:

  • (a)Cointivo believes that the information provided by the User is not authentic, valid, or complete
  • (b)Cointivo uncovers any abnormal transaction by the User, or any transaction that is suspicious or may be illegal
  • (c)Cointivo believes that the User's account is suspected of being involved in money laundering, cash-out, pyramid selling, fraudulent use, or other situations that Cointivo believes are risky or unlawful
  • (d)Cointivo discovers that the User uses illegal or improper technical means to engage in any activity that endangers trading security or affects fair trading
  • (e)Cointivo believes that the User may have participated in, or currently participates in, pump and dump schemes, wash trading, self-trading, front running, quote stuffing, spoofing, layering, or other types of market manipulative behaviour
  • (f)Any other circumstances under which the User breaches this Agreement

When a User decides to cease to use their User account, the User shall first repay all outstanding loans, margin balances, and fees owed to Cointivo, then withdraw all available digital assets eligible for withdrawal, close all open positions, cancel all open orders, and formally request account closure. Account closure requests are processed within 30 business days of meeting all prerequisites.
16)
The User agrees that the suspension, interruption, or termination of the User's account does not represent the termination of the User's responsibilities. The User shall still be liable for any possible breach of agreement or damages that may arise due to or in connection with such User's conduct during the time when such User used the Services; furthermore, Cointivo may continue keeping relevant information of the User.

COINTIVO SERVICES

17)

Notwithstanding the foregoing, the Services provided by Cointivo under this Agreement shall include the following:

  • (a)User accounts: A User account will be generated upon a User's registration with Cointivo. The User account will record the User's activities on the Platform and shall be the sole account for the User to log on to Cointivo and use any Services thereon.
  • (b)Spot trading: Users can submit digital asset trading instructions through Cointivo and trade digital assets against other digital assets or stablecoins on Cointivo's centralised order book. All spot trades are settled immediately upon matching and are irrevocable.
  • (c)Digital asset deposit and withdrawal: A User can transfer digital assets from other addresses to designated addresses in the User Account, or transfer digital assets from the User's account to other addresses, subject to supported networks and applicable limits. ALWAYS verify that you are using the correct blockchain network and destination address. Sending assets via an unsupported network or to an incorrect address may result in permanent and irrecoverable loss.
  • (d)Futures and derivatives trading: Cointivo provides services for Users to carry out leveraged perpetual and fixed-term futures trading. Futures trading is highly leveraged and involves a risk of loss of some or all of your digital assets. Cointivo may liquidate your positions at any time without prior notice if your margin balance falls below the required maintenance threshold.
  • (e)Margin trading: Eligible users may borrow funds to increase position size. Margin loans accrue interest and must be repaid in full. Cointivo may issue margin calls and forcibly liquidate positions to recover outstanding balances without prior notice.
  • (f)Earn and staking: Cointivo facilitates staking, savings, and yield-earning products for supported assets. Participation is subject to separate terms, minimum lock-up periods, and variable or fixed yield rates subject to change without notice.
  • (g)Convert: Cointivo offers an instant conversion service enabling users to exchange digital assets at quoted prices. Conversion rates are provided in real time and are subject to market conditions. All conversions are final and non-refundable.
  • (h)Peer-to-Peer service: Cointivo provides a platform that allows users to directly trade Digital Assets with other users. Cointivo acts solely as a neutral facilitator and escrow agent and is not responsible for counterparty conduct, including fraud, non-delivery, or disputed transactions.
  • (i)Fiat services: Cointivo cooperates with various partners to provide Users with means to convert fiat currency into digital assets via bank transfer, credit/debit card, and other approved payment methods. Third-party providers may apply additional fees, limits, and terms.
  • (j)API access: Cointivo provides API services for programmatic access to Platform functionality, subject to rate limits, usage restrictions, and separate API Terms of Use. Cointivo is not liable for losses arising from API errors, interruptions, or misuse.
  • (k)Copy trading: Cointivo may offer copy trading features enabling users to automatically replicate trades of selected lead traders. Past performance of lead traders is not indicative of future results and does not constitute investment advice or endorsement by Cointivo.
  • (l)Launchpad and IEOs: Cointivo may facilitate initial exchange offerings or token sale events. Participation is speculative, subject to eligibility requirements and separate terms, and involves the risk of total loss of invested funds.
  • (m)Other services which Cointivo may provide from time to time.
18)
You acknowledge and agree that the above list is non-exhaustive in nature and the Services are provided by Cointivo on an 'as-is' basis, and may be subject to reduction, change, cancellation, termination, and modification by Cointivo under its absolute sole discretion, with or without notice to you. Each Service Cointivo provides is subject to separate terms and conditions which may be contained under the Legal Documents; by using the Services, you are deemed to have read and understood those provisions.

RULES OF SERVICES

19)

When you use Cointivo Services, you agree and undertake to comply with the following provisions:

  • (a)During the use of Cointivo Services, all activities you carry out should comply with the requirements of applicable laws and regulations, this Agreement, applicable Legal Documents, and various guidelines of Cointivo.
  • (b)Your use of Cointivo Services should not violate public interests, public morals, or the legitimate interests of others, including any actions that would interfere with, disrupt, negatively affect, or prohibit other Users from using Cointivo Services.
  • (c)You agree not to use the Services for market manipulation, including but not limited to pump and dump schemes, wash trading, self-trading, front running, quote stuffing, spoofing, or layering, regardless of whether prohibited by law.
  • (d)Without written consent from Cointivo, the following commercial uses of Cointivo data are prohibited: (i) trading services that make use of Cointivo quotes or market information; (ii) data feeding or streaming services that make use of any market data of Cointivo; (iii) any other websites, apps, or services that charge for or otherwise profit from market data obtained from Cointivo.
  • (e)Without prior written consent from Cointivo, you may not modify, replicate, duplicate, copy, download, store, further transmit, disseminate, transfer, disassemble, broadcast, publish, remove or alter any copyright statement or label, or license, sublicense, sell, mirror, design, rent, lease, private label, grant security interests in the properties or any part of the properties, or create their derivative works or otherwise take advantage of any part of the properties.
  • (f)You may not use any deep linking, web crawlers, bots, spiders, or other automatic devices, programs, scripts, algorithms, or methods to access, obtain, copy, or monitor any part of the Platform; attempt to access any part or function of the Platform without authorisation; probe, scan, or test the vulnerabilities of Cointivo Services or any network connected to the Platform; reverse look-up, track, or seek to track any information of any other Users; impersonate or manipulate identification to disguise your identity; or use Cointivo Services in an illegal way.
20)

By accessing Cointivo Services, you agree that Cointivo has the right to investigate any violation of this Agreement, unilaterally determine whether you have violated this Agreement, and take actions under relevant regulations without your consent or prior notice. Examples of such actions include, but are not limited to:

  • Blocking and closing order requests
  • Freezing your account and any assets contained therein
  • Reporting the incident to the relevant authorities
  • Publishing the alleged violations and actions that have been taken
  • Deleting any information you published that is found to constitute a violation

PROHIBITED ACTIVITIES

21)

In addition to the foregoing, Cointivo prohibits the following activities on or utilising Cointivo Services. Cointivo has the right to monitor your transactions and account activities to determine, at its absolute sole discretion, if your use of Cointivo Services constitutes any of the following prohibited activities:

  • (a)Unlicensed money service businesses, including payment services providers, sale of money orders, or any money transmitter activities without requisite licensing
  • (b)Deceptive marketing, false advertising, or fraudulent schemes of any kind
  • (c)Unlicensed sale of weapons of any kind, including firearms, ammunition, knives, explosives, or related accessories
  • (d)Drugs and drug paraphernalia, including sale of narcotics, controlled substances, or any equipment designed for making or using drugs
  • (e)Gambling activities, including sports betting, casino games, lotteries, games of chance, or other activities that facilitate gambling
  • (f)Money laundering, fraud, terrorist financing, sanctions evasion, or any other type of financial crime
  • (g)Any sort of Ponzi scheme, pyramid scheme, or multi-level marketing programme
  • (h)Goods or services that infringe or violate any copyright, trademark, or proprietary rights under the laws of any jurisdiction
  • (i)Counterfeit or unauthorised goods, including sale or resale of fake identification documents, or illegally imported or exported goods
  • (j)Wash trading, front-running, insider trading, market manipulation, or other forms of market-based fraud or deceit
  • (k)Purchasing goods of any type from darknet markets or hidden service marketplaces
  • (l)Unauthorised or unlicensed brokerage or investment services
  • (m)Any other unlawful activities which would violate, or assist in violation of, any law, statute, ordinance, regulation, or sanctions programmes, or which would involve proceeds of any unlawful activities

In the event that we learn or reasonably suspect, in our sole discretion, that your account is or may be associated with any of the Prohibited Activities set forth above, we will consider it a violation of this Agreement and may suspend or terminate your account, cancel any pending transactions, freeze your funds immediately without notice, or take any other action required by law enforcement, a regulator, or any other authority. We reserve the right to report any such suspected or actual Prohibited Activities to any applicable law enforcement agency, regulator, or authority.

ACCOUNT RESTRICTIONS

23)

In addition to other provisions contained in this Agreement, you agree and acknowledge that we have the right, at any time and in our absolute sole discretion, to implement the following measures on your Account:

  • (a)Blocking and closing order requests
  • (b)Freezing your account and any assets or funds contained therein
  • (c)Clawing back and retrieving any profits obtained in violation of this Agreement or other Legal Documents
  • (d)Publishing the alleged violations and actions that have been taken
  • (e)Deleting any information you published that is found to constitute a violation

If we suspect, in our absolute sole discretion, that: the Account is in violation of any part of this Agreement, the Legal Documents, or applicable laws or regulations; the Account is in violation of anti-money laundering or counter-terrorism financing laws; the Account is subject to a court order or regulatory requirement; Cointivo believes an unauthorised person is attempting to gain access to your account; or the Account is related to any Prohibited Activities as set forth in Clause 21.

You agree and acknowledge that we have the right to immediately investigate and implement necessary measures on your Account and any Account related thereto, if we suspect, in our sole discretion, that any such account has committed a violation of this Agreement, the Legal Documents, or any applicable laws or regulations.

FEES

25)
Cointivo has the right to set service charges according to this Agreement. Cointivo also has the right to formulate and adjust service charges, and terminate any promotional fee rates at any time and from time to time, at Cointivo's absolute sole discretion. Current fees are published at https://cointivo.com/fees and are incorporated into this Agreement by reference. Cointivo charges maker and taker fees on spot and futures trades, with rates tiered based on rolling 30-day trading volume and CNT token holdings. Withdrawal fees are charged per withdrawal, calibrated to cover on-chain network costs, and may vary with network congestion. For perpetual futures contracts, a periodic funding rate mechanism is applied between long and short position holders; funding rates are variable and may be positive or negative.
26)
Unless otherwise stated or agreed upon, you agree that Cointivo has the right to deduct the above-mentioned service charges directly from the assets in your account at the time of the relevant transaction or event. You are responsible for ensuring that your account contains sufficient assets to cover applicable fees.

COMPLIANCE, AML AND FINANCIAL CRIME PREVENTION

Cointivo maintains a comprehensive compliance programme designed to prevent money laundering, terrorist financing, sanctions violations, fraud, and other forms of financial crime, in accordance with international standards and applicable regulatory requirements.
29)
You represent and warrant that all digital assets, fiat funds, or other financial instruments deposited into your Cointivo account originate from lawful sources and are not derived from criminal activity including fraud, corruption, narcotics trafficking, terrorist financing, sanctions evasion, or tax evasion. Cointivo monitors transactions and account activity using automated risk monitoring systems and manual review procedures in order to detect suspicious behaviour, financial crime, market manipulation, and violations of applicable laws. Cointivo may report suspicious activity to financial intelligence units, regulatory authorities, or law enforcement agencies where required by applicable law; such reporting may occur without prior notice to the affected User.
30)
Cointivo screens Users and transactions against international sanctions lists issued by governmental and supranational authorities. Users appearing on such lists or acting on behalf of sanctioned individuals or entities may be denied access to the Platform. Where required by applicable regulations, Cointivo may collect, store, and transmit information relating to the originator and beneficiary of digital asset transfers in accordance with international Travel Rule requirements. You consent to the collection and sharing of such information as required.

LIABILITIES

Cointivo is responsible for providing Cointivo Services to you according to the status quo and availability. Cointivo, however, makes no express or implied warranty with respect to the Services, including but not limited to the applicability, absence of error or omission, continuity, accuracy, reliability, or suitability for a particular purpose of the Services. At the same time, Cointivo makes no commitment or guarantee to the validity, accuracy, correctness, reliability, quality, stability, integrity, or timeliness of the technology and information involved in the Cointivo Service.

DISCLAIMER OF WARRANTIES: TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, COINTIVO SERVICES AND ANY PRODUCT, SERVICE OR OTHER ITEM PROVIDED BY OR ON BEHALF OF COINTIVO ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND COINTIVO EXPRESSLY DISCLAIMS, AND YOU WAIVE, ANY AND ALL OTHER WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE OR NON-INFRINGEMENT OR WARRANTIES ARISING FROM COURSE OF PERFORMANCE, COURSE OF DEALING OR USAGE IN TRADE. WITHOUT LIMITING THE FOREGOING, COINTIVO DOES NOT REPRESENT OR WARRANT THAT THE SITE, COINTIVO SERVICES OR COINTIVO MATERIALS ARE ACCURATE, COMPLETE, RELIABLE, CURRENT, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. COINTIVO DOES NOT GUARANTEE THAT ANY ORDER WILL BE EXECUTED, ACCEPTED, RECORDED, OR REMAIN OPEN.

WITHOUT LIMITING THE FOREGOING, YOU HEREBY UNDERSTAND AND AGREE THAT COINTIVO WILL NOT BE LIABLE FOR ANY LOSSES OR DAMAGES ARISING OUT OF OR RELATING TO: (A) ANY INACCURACY, DEFECT, OR OMISSION OF DIGITAL ASSETS PRICE DATA; (B) ANY ERROR OR DELAY IN THE TRANSMISSION OF SUCH DATA; (C) INTERRUPTION IN ANY SUCH DATA; (D) REGULAR OR UNSCHEDULED MAINTENANCE CARRIED OUT BY COINTIVO AND SERVICE INTERRUPTION AND CHANGE RESULTING FROM SUCH MAINTENANCE; (E) ANY DAMAGES INCURRED BY OTHER USERS' ACTIONS, OMISSIONS, OR VIOLATION OF THIS AGREEMENT; (F) ANY DAMAGE CAUSED BY ILLEGAL ACTIONS OF OTHER THIRD PARTIES OR ACTIONS WITHOUT AUTHORISATION BY COINTIVO; AND (G) OTHER EXEMPTIONS MENTIONED IN DISCLAIMERS AND PLATFORM RULES ISSUED BY COINTIVO.

DISCLAIMER OF DAMAGES AND LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL COINTIVO AND THEIR RESPECTIVE SHAREHOLDERS, MEMBERS, DIRECTORS, OFFICERS, EMPLOYEES, ATTORNEYS, AGENTS, REPRESENTATIVES, SUPPLIERS OR CONTRACTORS BE LIABLE FOR ANY INCIDENTAL, INDIRECT, SPECIAL, PUNITIVE, CONSEQUENTIAL OR SIMILAR DAMAGES OR LIABILITIES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF DATA, INFORMATION, REVENUE, PROFITS OR OTHER BUSINESSES OR FINANCIAL BENEFITS) ARISING OUT OF COINTIVO SERVICES, WHETHER UNDER CONTRACT, STATUTE, STRICT LIABILITY OR OTHER THEORY EVEN IF COINTIVO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, EXCEPT TO THE EXTENT OF A FINAL JUDICIAL DETERMINATION THAT SUCH DAMAGES WERE A RESULT OF COINTIVO'S GROSS NEGLIGENCE, FRAUD, WILFUL MISCONDUCT, OR INTENTIONAL VIOLATION OF LAW.

NOTWITHSTANDING THE FOREGOING, IN NO EVENT WILL THE LIABILITY OF COINTIVO ARISING OUT OF SERVICES OFFERED BY OR ON BEHALF OF COINTIVO EXCEED THE AMOUNT OF THE TRANSACTION FEES PAID BY YOU TO COINTIVO IN THE THREE-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM FOR LIABILITY, OR USD 500, WHICHEVER IS GREATER.

You agree to indemnify and hold harmless Cointivo, its affiliates, contractors, licensors, and their respective directors, officers, employees, and agents from and against any claims, actions, proceedings, investigations, demands, suits, costs, expenses, and damages (including attorneys' fees, fines, or penalties imposed by any regulatory authority) arising out of or related to: (i) your use of, or conduct in connection with, Cointivo Services; (ii) your breach or our enforcement of this Agreement; or (iii) your violation of any applicable law, regulation, or rights of any third party during your use of Cointivo Services. If you are obligated to indemnify Cointivo pursuant to this Agreement, Cointivo will have the right, in its sole discretion, to control any action or proceeding and to determine whether Cointivo wishes to settle, and if so, on what terms.

INTELLECTUAL PROPERTY

All intellectual property included in the Cointivo Platform — including software, source code, databases, designs, user interfaces, algorithms, logos, trademarks, trade names, and all other materials (collectively, "Cointivo Content") — are the proprietary intellectual property of Cointivo or its licensors and are protected by applicable intellectual property laws worldwide. Cointivo grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and Cointivo Content solely for your personal or internal business use in connection with the Services. This licence does not include any right to sublicense, sell, modify, reproduce, publicly display, or create derivative works from any Cointivo Content. You may not use, copy, or distribute any content without our express written permission. Any feedback or suggestions you submit to Cointivo may be used without restriction and without compensation; by submitting feedback, you waive all intellectual property rights you may have therein.

PRIVACY AND DATA PROTECTION

Cointivo processes personal data in accordance with its Privacy Policy, available at https://cointivo.com/legal/privacy-policy, which is incorporated into this Agreement by reference. By using the Platform, you consent to the collection, processing, storage, and transfer of your personal data as described in the Privacy Policy. Cointivo collects personal data including but not limited to: full legal name, date of birth, nationality, government-issued ID details, biometric verification data, contact information, device identifiers, IP addresses, transaction history, and behavioural data associated with Platform use.

Cointivo may share your personal data with third-party KYC/AML verification partners, payment processors, financial institutions, regulatory authorities, and law enforcement as required by applicable law or in connection with the provision of Services. Depending on your jurisdiction, you may have rights regarding your personal data including rights of access, rectification, erasure, restriction, portability, and objection. Cointivo implements appropriate technical and organisational security measures to protect personal data; however, no system is entirely secure. In the event of a data breach affecting your rights, Cointivo will notify you as required by applicable data protection law.

TERMINATION OF SERVICES

You agree that Cointivo shall be entitled in its sole and absolute discretion, without prior notice, to suspend or terminate the provision of part or all of the Cointivo Services to you for any reason, as well as to suspend or permanently freeze your account on Cointivo, and shall not be liable to you or any third party for so doing. Cointivo has the right to retain trade data, history, and other information relating to the account. In the event of any of the following circumstances, Cointivo has the right to terminate this Agreement directly by cancelling the account:

  • (a)After Cointivo terminates services provided to you, and you are suspected of re-registering as a User of Cointivo directly, indirectly, or in the name of another person
  • (b)The email address that you have provided does not exist or cannot receive emails, and you have not changed to a valid email address within three working days after notice from Cointivo
  • (c)The main contents of the user information that you have provided are untrue, inaccurate, or incomplete
  • (d)When the Agreement has been updated, you expressly inform Cointivo that you are not willing to accept the revised Terms
  • (e)Other circumstances in which Cointivo believes the service should be terminated

You agree that Cointivo shall have the right to immediately suspend your Cointivo Account (and any accounts beneficially owned by related entities or affiliates), freeze or lock assets or funds in all such accounts, and suspend your access to Cointivo for any reason, including if Cointivo suspects any such accounts to be in violation of this Agreement, the Legal Documents, or any applicable laws and regulations. Cointivo shall reserve the right to keep and use the transaction data or other information related to such Cointivo Accounts. The above account controls may also be applied in the following cases: the Account is subject to a governmental proceeding, criminal investigation, or other pending litigation; unusual activities are detected in the Account; unauthorised access to the Account is detected; or Cointivo is required to do so by a court order or regulatory authority.

The termination of a User's account does not relieve the User of any obligations incurred prior to termination. Provisions of this Agreement that by their nature should survive termination shall continue in full force and effect. Upon the termination of account services, Cointivo shall have no obligation to retain or disclose to the User any information in the account, or to forward to the User or a third party any information not already sent.

DISPUTE RESOLUTION

Before initiating any formal dispute proceeding, you agree to attempt informal resolution by contacting Cointivo at [email protected] with a written description of your dispute and the relief sought. Cointivo will attempt to resolve the dispute within thirty (30) days of receipt.

If informal resolution fails, any unresolved dispute, controversy, or claim arising from or relating to this Agreement or the Services shall be finally resolved by binding arbitration administered by an internationally recognised arbitral institution under its then-current rules. Arbitration shall be conducted by a sole arbitrator and in the English language. YOU AND COINTIVO AGREE THAT EACH PARTY MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE PROCEEDING, OR REPRESENTATIVE ACTION. Notwithstanding the foregoing, either party may seek urgent injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm, pending the outcome of arbitration. Any claim arising out of or relating to this Agreement must be filed within one (1) year of the date the claim arose, or such claim shall be permanently barred.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. The specific governing jurisdiction applicable to your use of the Services may vary based on your location and the Cointivo entity with which you have contracted; details are set out in the applicable entity-specific terms displayed during your account registration flow. Subject to the arbitration provisions in Clause 42, any legal proceedings not subject to binding arbitration shall be brought exclusively in courts of competent jurisdiction agreed upon by the parties.

MODIFICATIONS

Cointivo reserves the right to modify these Terms at any time. For material changes to these Terms, Cointivo will provide at least seven (7) days' advance notice via your registered email address and/or through a prominent notification on the Platform. For non-material changes such as typographical corrections or clarifications, Cointivo may update the Terms without prior notice. The "Last Updated" date at the top of this document reflects the most recent revision.

Your continued use of our Services after such modifications constitutes your unconditional acceptance of the updated Terms. If you do not agree with any revised version of these Terms, your sole remedy is to cease using the Platform and close your account. You will not be entitled to any compensation for ceasing use as a result of a modification to these Terms. Cointivo maintains a version history of prior terms, available upon reasonable written request.

MISCELLANEOUS

These Terms, together with all incorporated Legal Documents, constitute the entire agreement between you and Cointivo with respect to the subject matter hereof, superseding all prior negotiations, representations, or agreements, whether oral or written. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall remain in full force and effect. Cointivo's failure to enforce any right or provision shall not constitute a waiver; any waiver must be in writing and signed by an authorised Cointivo representative to be effective.

You may not assign or transfer your rights or obligations under these Terms without Cointivo's prior written consent. Cointivo may freely assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets. Cointivo shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, war, terrorism, pandemics, governmental actions, or failures of internet infrastructure or blockchain networks. These Terms are made in the English language; in the event of inconsistency between the English version and any translation, the English version shall prevail. Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, franchise, or employment relationship between you and Cointivo. You agree that these Terms, and all notices and communications provided electronically, satisfy any legal requirement that such communications be in writing.
